Terms of Service

Effective Date: June 1, 2026 · Service Provider: Notary Catalyst (a DBA of Alex Noel LLC)

IMPORTANT: BY USING THE SERVICES YOU AGREE TO THESE TERMS, INCLUDING MANDATORY INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER.

1. Parties & Acceptance

These Terms of Service ("Terms") form a binding agreement between you, the end user or purchaser ("Customer"), and the individual or entity offering services through this platform ("Service Provider"). A Service Provider may be a business entity (e.g., corporation, LLC, partnership) or an individual sole proprietor. References to "we," "our," or "us" mean the Service Provider. By accessing or using any services, you agree to these Terms. If you do not agree, do not use the services.

2. Services & Role

The Service Provider offers coordination, document-handling, and/or task execution services that may include, without limitation, notarial acts (as permitted by applicable law), courier and delivery tasks, field observations/inspections (non-professional), and apostille facilitation (submission to government agencies). The Service Provider is not a law firm or a regulated professional advisor and does not provide legal, accounting, engineering, or other professional opinions.

3. Customer Responsibilities

You agree to: provide accurate information and use the services only for lawful purposes; comply with all applicable laws and third-party rights; protect account credentials and promptly notify us of suspected unauthorized use (we are not liable for losses from compromised accounts); only upload or submit documents and content you have the legal right to use, ensuring materials are accurate, lawful, and do not infringe rights.

Packaging, Addressing, and Prohibited Contents: You are solely responsible for proper packaging, addressing, and compliance with carrier and governmental requirements, and for excluding prohibited, restricted, perishable, or high-risk items (including cash, bearer instruments, irreplaceable originals where copies are legally acceptable, or hazardous materials). We may refuse, suspend, or return any non-compliant or unsafe item at your expense.

4. Third-Party Providers & No Agency

Some tasks may be performed by independent contractors or third parties (e.g., commissioned notaries, couriers, carriers, mail services, inspection personnel). Except to the extent that applicable remote online notarization (RON) statutes, notary regulations, or other laws impose supervisory or platform-level obligations on the Service Provider, such third parties are not our agents, and we do not control or supervise their work. To the maximum extent permitted by law, we disclaim liability for their acts or omissions; any remedies relating to such third parties must be pursued directly against them.

5. Service-Specific Disclaimers

Notarial Services: Notarization verifies identity and/or witnessing as allowed by law; it is not validation of content, legality, or third-party acceptance. Remote sessions may fail due to technology or identity-verification limits.

Apostille Facilitation: Submission to government offices only; we do not issue apostilles, cannot control processing times, and cannot guarantee acceptance. Originals may be required by government offices and may be rejected, delayed, lost, or damaged by carriers or agencies. You agree to (i) retain duplicates or certified copies where lawful, (ii) package securely using trackable services, and (iii) accept that we are not responsible for the custody, processing time, acceptance, or return of documents by third parties.

Risk of Loss: To the fullest extent permitted by law, you bear all risk of loss, theft, delay, misdelivery, or damage to documents, packages, and contents at all times. No insurance is provided by us.

6. Fees, Billing & Refunds

Fees are payable as presented at purchase. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. Appointments may be canceled or rescheduled up to 2 hours before the session for a full refund. No-shows are non-refundable. If identity verification fails, the notary fee is refunded but a $5 platform fee is retained. Unauthorized or frivolous chargebacks filed without a good-faith attempt to resolve the dispute directly may constitute a breach of these Terms. Prices may change with notice; continued use after the effective date constitutes acceptance.

7. Insurance & Bonds

The Service Provider is independently responsible for maintaining all insurance and bonding required by applicable law for the services offered, including without limitation notary errors-and-omissions (E&O) coverage and surety bonds. You, the Customer, are solely responsible for securing any additional insurance appropriate to your own risks.

8. Content & License

You retain ownership of your original documents and content. You grant us a worldwide, royalty-free license to host, use, reproduce, store, transmit, and display your content solely to provide, secure, support, and improve the services. This license continues for the duration of your use and for a reasonable period thereafter necessary for backup, archival, and legal-compliance purposes.

9. Acceptable Use

You agree not to engage in any unlawful, infringing, fraudulent, deceptive, harassing, or harmful activity; not to introduce malware, scrape data, gain unauthorized access, reverse engineer, or interfere with the service; and not to misrepresent your identity or authority or submit forged or altered documents. We may suspend or terminate access immediately for violations, risk, non-payment, or to comply with law.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND—EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT). No warranty of uninterrupted or error-free operation, accuracy, third-party acceptance, or compliance outside applicable jurisdictions.

11. Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability is limited to the greater of (a) the fees you paid in the six months preceding the event, or (b) the minimum amount that may not be disclaimed under applicable law. We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, or data; or shipment/document losses.

12. Indemnification

You will defend, indemnify, and hold harmless the Service Provider and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the services; (b) your violation of law or third-party rights; (c) content or documents you submit; (d) disputes with carriers, recipients, contractors, or regulators; or (e) your breach of these Terms.

13. Force Majeure

We are not liable for delay or failure due to events beyond reasonable control, including acts of God, natural disasters, governmental actions, labor disputes, supply-chain issues, Internet or utility failures, cyber incidents, or third-party outages.

14. Changes to Terms

These Terms may be modified by posting an updated version. Material modifications will be communicated via reasonable notice no fewer than thirty (30) days before the effective date. Continued use after the effective date constitutes acceptance.

15. Electronic Transactions & Recording Consent

By using the services, you consent to conducting transactions electronically pursuant to the ESIGN Act (15 U.S.C. § 7001 et seq.) and applicable state enactments of UETA. You acknowledge that electronic signatures, records, and communications satisfy any legal requirement that such transactions be in writing or signed.

RON Recording: If the services include remote online notarization (RON), the audio-visual session may be recorded as required or permitted by applicable state law. By participating in a RON session, you consent to such recording. In accordance with Florida Statutes §117.265, remote online notarization sessions are recorded and retained for a minimum of ten (10) years.

16. Dispute Resolution; Arbitration; Class Waiver

Before filing a claim, both parties will attempt good-faith resolution for 30 days after written notice. If unresolved, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association or JAMS, at the Service Provider's election. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS, NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Any claim must be filed within twelve (12) months after it arises.

17. Governing Law & Venue

These Terms are governed by U.S. federal law and, to the extent not preempted, by the laws of the U.S. state or territory in which the Service Provider is legally organized, without regard to conflict-of-law rules. For any matter not subject to arbitration, exclusive venue and jurisdiction lie in the state or federal courts located in the county of the Service Provider's principal place of business.

18. Notices

The Service Provider may provide notices via the platform interface or email to the account address on file. Customers may provide notices via email to: [email protected].

19. Miscellaneous

No Third-Party Beneficiaries: Except as expressly stated, no third party has rights under these Terms. Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable. No Waiver: Failure to enforce a provision is not a waiver of the right to enforce it later. Assignment: You may not assign these Terms without our prior written consent; we may assign freely. Entire Agreement: These Terms constitute the entire agreement, superseding all prior understandings on the subject.
